澳门最后一家未上市持牌博彩企业、目前由美国美高梅集团（MGM）及何超琼各持五成权益的美高梅天朝（MGM China），来港上市的具体部署昨日曝光。让人意外的是，发售的股份全部来自何超琼的旧股，她的持股将在上市后降至29％或以下，MGM反而增至 51％，这意味着何超琼将放弃与美国伙伴平起平坐的大股东地位，控股权拱手让予MGM。; Z# [2 O& [# u2 Z# d- f3 S* E

美国MGM昨日宣布，已经与何超琼签订协议，当美高梅天朝的公开发售完成后，MGM将通过按招股价向何超琼收购1％股份，持有美高梅天朝51%的控股权。 MGM发言人对本报表示，何超琼因为减持旧股，持股权将降至29％。当承销团行使超额配股权，股份同样来自何超琼，何的持股将进一步降至26%。MGM指何超琼将把减持的部分资金，认购该公司价值3亿美元的换股票据。

有熟悉澳门赌业人士说，根据当地法例，濠江6家持有赌牌的公司，其控股股东不可在其余5家公司持股多於5%。以澳BO（0880）为例，其大股东澳娱不能够在其余5间持有赌牌的公司包括新濠（0200）、金沙（1928）及银娱（0027）等持股超过5%。但何超琼减持美高梅天朝的举动，似无助解决她同时在澳BO持股的问题。

MGM为了进入澳门市场，当年选择与何超琼合作，却有不少麻烦。09年美国新泽西州赌业监管部门的报告认为，考虑到何鸿燊(相关)被国际执法机关怀疑与有组织犯罪有关，认为其女何超琼是不恰当的生意伙伴，要求MGM与何「割蓆」。MGM最终壮士断臂，放弃新泽西州业务，保留澳门赌业这颗「金蛋」。. M# ?# @/ }) ^0 n
